TERMS OF SERVICE (COACHALLY)

1.1 The Platform. CoachAlly is an AI-powered coaching intelligence platform for coaches, healers, and wellness practitioners. Your subscription grants you access to the software, along with our custom configurations, templates, and generated content.

1.2 B2B Service. This is a business-to-business service intended for entrepreneurs, coaches, and creators. It is not intended for consumer use.

1.3 CoachAlly.Your subscription also includes access to "CoachAlly," our custom-built platform. CoachAlly is designed to provide guided setups, AI features, and streamlined management of your coaching environment.

1A.1 Your Responsibility. Before you upload, paste, or otherwise import any client session (transcript, recording, or notes) into CoachAlly, you warrant that you are authorised to do so. You must give the client clear information about the recording, transcription, and CoachAlly processing; identify and keep a record of your documented lawful basis; and obtain any consent required by applicable law, your professional obligations, or your agreement with the client, including for recording or sensitive personal information.

1A.2 Controller and Processor.For any personal data of your clients that you submit to the Platform, you are the data controller and CoachAlly acts as your data processor, handling that data only on your instructions and only to provide the Platform's features to you.

1A.3 Real Names.By default, CoachAlly stores your client's real name against their record. You may instead choose, per client, to store a client under a nickname you select, in which case the names you enter and confirm for that client are removed from the transcript in your browser before upload and are not sent to or stored on our servers. This removal acts only on the names you provide, so a spelling or nickname you do not give us may remain; it is a strong safeguard, not a guarantee against a spelling we were never given. A nickname reduces identity exposure; it does not make the session anonymous or remove your responsibilities under this clause.

1A.4 Third Parties.Where a session mentions someone other than you and your client, such as a colleague, family member, or another client, CoachAlly runs an automated process to de-identify that person before the transcript is processed, in every mode. This is a safeguard, not a guarantee that every reference is removed. You are not expected to obtain a third party's agreement on their behalf, but remain responsible for meeting the legal obligations that apply to your own use of the session.

1A.5 Breach of This Clause. If you import a session without the required authority, lawful basis, or consent, you are in breach of these Terms, and we may suspend or terminate your account under Clause 9.2.

2.1 Free Trial. New subscribers receive a 30-day free trial with full platform access. Whether a payment method is required to start your trial is shown at checkout. You will not be charged during the trial period.

2.2 Trial Cancellation. You may cancel at any time during your 30-day trial. If you cancel before the trial ends, you will not be charged. Your account will be deactivated at the end of the trial period.

2.3 Conversion to Paid Subscription. If you do not cancel before the end of your 30-day trial, your subscription converts to a paid plan. If you have a payment method on file, it will be charged on Day 31; if not, your access pauses until you add one.

2.5 Automatic Renewal. Your subscription automatically renews at the end of each monthly billing cycle. You must cancel before your renewal date to avoid future charges.

2.6 Promotional Discounts. Promotional discounts, where offered, apply to the first payment only and do not affect renewal pricing.

3.1 Grandfathered Rates.If you subscribed under a "Founder Deal" or promotional pricing prior to December 2025, your renewal rate remains locked at the price you originally paid for as long as your subscription remains active and in good standing.

3.2 Loss of Rate. If your subscription is cancelled, refunded, or fails payment and lapses, you forfeit your grandfathered rate. Reactivation will be at the current standard pricing.

3A.1 Eligibility. During the Founding Period, every active founding member is automatically enrolled as a referrer and receives a unique referral link. You may share this link with other coaches and creators.

3A.3 Reward. Each qualifying referral credits one (1) free month (equivalent to $49 USD at current founding pricing) to your next CoachAlly invoice. Rewards stack: if your accumulated credit exceeds your next bill, the remainder rolls forward and reduces future invoices.

3A.4 Timing.Credits are applied within a few days of the referred member's first successful payment. Credits are added to the next invoice that has not yet been finalised by our payment processor.

3A.5 Form of Reward. The founding-period referral reward is limited to free months of CoachAlly subscription. No cash payout, gift card, or third-party credit is offered for referrals made during the Founding Period.

3A.6 Post-Founding Transition. When the Founding Period closes, existing founding members retain eligibility for the free-month reward on all future qualifying referrals. A separate affiliate program for non-founding members may be introduced at that time on different terms.

3A.7 Fraud and Abuse. Self-referrals, circular referrals, referrals generated via purchased traffic, incentivised click farms, or other manipulative means will be disqualified. Credits issued in connection with disqualified referrals may be reversed. We reserve the right to review referral activity and withhold rewards where abuse is suspected.

3A.8 Termination. If your CoachAlly subscription ends for any reason, any unapplied referral credits are forfeited and do not convert to cash or carry forward to a reactivated account.

4.1 All Features Included. Your subscription includes full, unlimited access to every feature of the CoachAlly platform, with no separate per-use, telecommunications, or usage fees.

4.2 Future Changes. As the platform develops and usage scales, we reserve the right to introduce credit-based or usage-based billing for certain features in the future. Any such change will be communicated with reasonable advance notice and will not change the price of a subscription term you have already paid for.

5.2 Scope of Support.Support is limited to technical platform assistance (e.g., "How do I build a workflow?", "My domain isn't connecting"). It does not include strategic business coaching, marketing advice, copywriting, or "Done-For-You" implementation services.

5.3 Modifications to Support.We are committed to providing helpful support. However, you acknowledge that specific support channels are provided subject to commercial viability. We reserve the right to modify support methods with 30 days' notice. This does not affect your access to the software itself.

6.1 Your Data. You own all data, content, leads, and customer information you upload to the platform. You retain full ownership of your business information at all times.

6.2 Our IP.CoachAlly owns the specific "Snapshots," templates, workflows, and system configurations provided to you, as well as the proprietary code and design of CoachAlly. You are licensed to use them while your subscription is active.

7.1 Compliance. You agree to comply with all applicable laws regarding marketing, including the CAN-SPAM Act and TCPA.

7.2 SMS Registration. To send SMS messages to US numbers, you must register your brand via the Trust Center inside the platform (A2P 10DLC).

7.3 Prohibited Content. You may not use the platform to send spam, scams, hate speech, or engage in illegal activities.

8.1 "As Is" Service.CoachAlly is provided "as is" and "as available."

8.2 Liability Cap.To the maximum extent permitted by law, Phoenix Rising International LLC's liability for any claim related to this agreement is limited to the amount you paid us in the one (1) month period preceding the event giving rise to the claim.

9.2 Termination for Cause. We may terminate your account immediately without refund if you violate these Terms (e.g., sending spam, abusive behavior, fraudulent activity).
